Agreement to Terms 

Welcome to Softobiz (“Softobiz,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website www.softobiz.com and related services (collectively, the “Services”). By accessing or using our Services, you (“User,” “you,” or “your”) agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. 

If you do not agree to these Terms, please do not access or use our Services. 

Services Overview 

Softobiz provides enterprise technology services including artificial intelligence solutions, robotic process automation (RPA), cloud computing, DevOps, digital transformation consulting, GCC and related professional services. Our Services are designed for businesses and organizations seeking to modernize their technology infrastructure and operations. 

Acceptance and Modifications 

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our Services after such changes constitutes acceptance of the modified Terms. Unless anything inconsistent with these terms re agreed upon by us in a separate statements of work or service agreements the terms specified herein shall apply and prevail. 

User Eligibility and Account Responsibilities 

Eligibility: You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization. 

Account Security: If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. Notwithstanding the aforesaid, Softobiz shall not be responsible, in any manner, for any third person accessing any of your information provided in the account created by you.  

Accurate Information: You agree to provide accurate, current, and complete information in account created on our website and/or when using our Services and to update such information to maintain its accuracy. 

Acceptable Use Policy 

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not: 

• Violate, or cause us violate, any applicable laws, regulations, or third-party rights 

• Use our Services for any illegal, harmful, or fraudulent activities 

• Attempt to gain unauthorized access to our systems or networks 

• Interfere with or disrupt the integrity or performance of our Services 

• Transmit viruses, malware, or other harmful code 

• Engage in activities that could damage our reputation or business relationships 

• Use automated systems to access our Services without prior written consent 

• Reverse engineer, decompile, or attempt to extract source code from our Services 

• Upload or transmit inappropriate, defamatory, obscene, or unlawful content 

• Cause, or allow any third person cause, any infringement of our Intellectual property Rights 

• Pass on or allow any third person to use, without our specific permission,  any part of work done by us for you. 

Intellectual Property Rights 

Our Content: All content, features, and functionality of our Services, including but not limited to text, graphics, logos, images, software, and design elements, whether registered or not are accepted as owned by Softobiz or our licensors and are protected by copyright, trademark, and other intellectual property laws. 

Your Content: You retain ownership of any content you provide to us. By sharing content with us, you grant Softobiz a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing our Services to you. 

Proprietary Solutions: Any custom software, algorithms, or solutions developed by Softobiz for your organization remain our intellectual property unless otherwise specified in a separate written agreement. 

Service Availability and Performance 

Availability: We strive to maintain high service availability but do not guarantee uninterrupted access to our Services. We may temporarily suspend or restrict access for maintenance, updates, or security purposes or for any reason beyond our reasonable control. 

Performance: While we employ industry best practices, we do not warrant that our Services will meet all your requirements or be error-free, secure, or available at all times. 

Third-Party Services: Our Services may integrate with third-party platforms and services. We are not responsible for the availability, accuracy, or reliability of such third-party services. 

Data and Privacy 

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using our Services, you consent to our data practices as described in our Privacy Policy. 

Data Security: We implement reasonable security measures to protect your data, but cannot guarantee absolute security. You are responsible for maintaining the security of any data you provide to us. 

Data Backup: While we maintain backup procedures, you are solely responsible for backing up your critical data and information. 

Professional Services and Client Obligations 

Project Scope: The scope, deliverables, timelines, and fees for professional services will be defined in separate statements of work or service agreements. 

Client Cooperation: Successful project delivery requires your timely cooperation, including providing necessary access, information, and approvals as requested. 

Acceptance: Unless otherwise specified in writing, services are deemed accepted upon delivery or completion of the agreed scope. 

Payment Terms 

Fees: Service fees will be specified in separate agreements or proposals. All fees are exclusive of applicable taxes unless otherwise stated. 

Payment: Payment terms will be outlined in your service agreement. Late payments  shall incur additional charges and may result in suspension of services. 

Refunds: Refund policies, if applicable, will be specified in your service agreement. 

Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOFTOBIZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. 

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 

Disclaimers 

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. 

Indemnification 

You agree to indemnify, defend, and hold harmless Softobiz and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of our Services that are provided as per the  requirements specified by you, violation of these Terms, or infringement of any third-party rights. 

Termination 

We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including breach of any of these Terms and/or the terms of statements of work or service agreements. Upon termination, your right to use our Services will cease immediately. 

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability. 

The termination shall not absolve you of your liability to pay us for the work done/services provided till then. 

Governing Law and Dispute Resolution 

Unless otherwise agreed in writing, these Terms shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.  

Arbitration: Any dispute arising from these Terms or our Services shall first be subject to good faith negotiations. If unresolved within thirty (30) days, disputes may be submitted to binding arbitration in accordance with the rules of [Arbitration Body]. General Provisions 

Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreements, shall constitute the entire agreement between you and Softobiz regarding our Services. 

Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations under these Terms without restriction. 

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.

AI Services Specific Terms 

AI Model Usage: Our AI solutions are designed for business applications and should not be used for making decisions that could have significant legal, financial, or personal impact on individuals without human oversight. 

Data Training: Unless otherwise agreed in writing, we may use aggregated, anonymized data from our services to improve our AI models and solutions, subject to our Privacy Policy. 

Output Accuracy: While our AI solutions employ advanced algorithms, we do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. Users should exercise appropriate judgment and validation.
